Hyper-V Max Hardware

I apologize if I put this in the wrong area.

The question I have is this: I have a server I got on the cheap that has 8 Quad core Opteron CPU's and 64 GB of RAM (Sunfire x4600 M2). If I run Hyper-V Server 2012 R2, will I have access to all my available RAM and CPU's/Cores? Or are you limited to 2 physical CPu's and 32 GB of RAM, or some other limitation?

Am I correct that it can handle 320 Logical Processors? This total accounting for a combination of Physical CPU's, Cores and threads (Hyper Threading). and 4 TB of RAM.

    Yes 320 logical processors and 4TB of ram. I am not very familiar with AMD CPU's as I only use Intel but a six core i7 would have 12 logical processors.

    Thanks for confirming that. These are older Operons having 4 physical cores per CPU, no logical cores. So I should be good to go.
